T-Mobile ended specified diversity, equity and inclusion (DEI) policies, dedicated roles and teams on July 8, 2025, while two major transactions were still awaiting Federal Communications Commission review. FCC Chair Brendan Carr welcomed the move. Democratic FCC Commissioner Anna Gomez called it a “cynical bid” for approval and a “cowardly corporate capitulation.”
The timing fueled accusations that T-Mobile changed its corporate policies to satisfy the FCC. However, the available record does not show a formal written FCC order requiring T-Mobile to abolish DEI programs as a condition of approval. Both transactions were later approved and completed in 2025.
What T-Mobile changed
In a July 8, 2025 letter to FCC Chairman Brendan Carr, T-Mobile General Counsel Mark Nelson said the company was ending its DEI-related policies “not just in name, but in substance.” The company said it would:
- Eliminate individual roles and teams focused on DEI.
- Remove DEI references from T-Mobile’s website.
- Remove DEI references from employee-training materials.
- Continue supporting lawful nondiscrimination and equal opportunity.
The documented announcement does not establish that T-Mobile ended every diversity-related employment, outreach or compliance practice. It also does not show whether every affected initiative was eliminated, renamed or integrated into another function. Saying that T-Mobile “eliminated diversity” would therefore go beyond the evidence.

Bloomberg Law reported on the company’s letter and its stated rationale.
Why the FCC’s role mattered
The controversy centered on the FCC’s authority to review communications transactions and license transfers in the public interest. That review is separate from the Justice Department’s antitrust investigation, although both can affect whether a transaction proceeds.
Earlier in 2025, Carr had said companies maintaining DEI practices he viewed as “invidious” discrimination could face difficulty obtaining FCC approval for transactions subject to the agency’s review. In January, the FCC also announced that it was ending the agency’s own promotion of DEI, while describing the change as consistent with its nondiscrimination responsibilities.

In that context, T-Mobile’s letter arrived while its proposed acquisitions involving UScellular and Metronet were before the FCC. Carr described T-Mobile’s change as a positive step for equal opportunity, nondiscrimination and the public interest.
That sequence explains why the issue became a corporate-governance and merger-oversight controversy rather than simply an internal human-resources announcement.
What Anna Gomez criticized
Gomez publicly attacked the timing and apparent motivation of T-Mobile’s decision. She described it as a “cynical bid” to obtain FCC approval and called it a “cowardly corporate capitulation.”

Those are Gomez’s characterizations and allegations about motive—not an adjudicated finding that the FCC and T-Mobile made an improper agreement. The independent factual record establishes the timing of the letter, Carr’s prior public position, Carr’s positive reaction and the subsequent approvals. It does not conclusively establish that the DEI rollback was exchanged for regulatory approval.

The two transactions awaiting review
T-Mobile’s UScellular acquisition
T-Mobile agreed to acquire UScellular’s wireless operations, customers, retail stores, network assets and selected spectrum. The FCC described the transaction as involving approximately 30% of UScellular’s spectrum portfolio. The deal was valued at approximately $4.4 billion, including cash and assumed debt.
The Justice Department’s Antitrust Division separately announced on July 10, 2025, that it would not seek to block the transaction. The department nevertheless noted competition concerns, including the loss of UScellular as an independent wireless provider and the possibility of greater spectrum concentration.
The FCC later approved the relevant license transfers, and T-Mobile announced that it completed the wireless-operations acquisition on August 1, 2025.

T-Mobile, KKR and Metronet
The Metronet transaction created a 50/50-controlled joint venture between T-Mobile and an entity backed by KKR. The venture acquired substantially all of Metronet’s assets and operations. T-Mobile took responsibility for residential customer acquisition and support, while Metronet contributed fiber infrastructure and operational expertise.

The FCC authorized the transaction in July 2025. KKR announced that the joint venture closed on July 24, 2025.

What happened next
January 21, 2025: The FCC announced that it was ending the agency’s promotion of DEI.
March 2025: Carr publicly linked companies’ DEI practices to the prospects for FCC approval of certain transactions.
July 8, 2025: T-Mobile sent Carr its letter announcing the end of specified DEI-related policies, roles, teams, website references and training references.
July 9, 2025: The controversy became public, and FCC approval action was issued for the Metronet transaction.
July 10, 2025: DOJ said it would not seek an injunction against the UScellular transaction.

July 11, 2025: FCC staff approved the UScellular license transfers.
July 24, 2025: KKR announced completion of the Metronet joint venture.
August 1, 2025: T-Mobile announced completion of its UScellular wireless-operations acquisition.
Did the FCC explicitly force T-Mobile to end DEI?
Not according to the available documents. Carr publicly connected approval prospects with DEI practices he considered discriminatory, and T-Mobile changed its policies while its transactions were pending. Carr then praised the change, and the transactions were approved shortly afterward.
But the record does not establish that the FCC issued a formal written order commanding T-Mobile to eliminate DEI or that the approvals were legally conditioned solely on the company’s policy change. Nor does the available material, by itself, establish that the episode violated a particular statute or constitutional provision.
The most accurate description is that T-Mobile acted amid public regulatory pressure, creating a strong appearance of connection between the policy rollback and the pending reviews. Whether that appearance represented an explicit bargain, informal pressure or a corporate decision based on broader legal and political considerations is not resolved by the cited approval documents.

Why the distinction matters
The dispute highlights a difference between formal regulatory conditions and regulatory leverage. An agency may review a transaction’s public-interest implications without issuing a written order about a company’s human-resources policies. At the same time, a regulator’s public statements can affect how companies assess the risk of delay, additional scrutiny or an unfavorable outcome.
It also exposes a terminology dispute. T-Mobile and the FCC described their positions using language about lawful nondiscrimination and equal opportunity, while Carr and the agency opposed practices they characterized as discriminatory DEI. That does not mean all DEI programs are illegal, nor does ending DEI branding necessarily reveal the operational fate of every diversity, accessibility, recruiting or employee-support initiative.
The business stakes gave T-Mobile a practical reason to avoid uncertainty. The UScellular transaction added wireless operations and spectrum, while the Metronet venture expanded the company’s role in fiber broadband. Those transactions were not identical: the DOJ handled antitrust concerns in the UScellular matter, while the FCC reviewed license transfers and communications-related public-interest issues.

That is the FCC’s description of its own accomplishments, not an independent adjudication that every prior company practice was unlawful.
For companies with FCC-regulated transactions, the episode demonstrates that regulatory risk can extend beyond conventional merger economics and spectrum questions. It does not, however, prove that every future applicant must adopt a particular corporate-policy position or that a policy change guarantees approval.
