When Cypress Semiconductor announced its acquisition of ScanLogic Corp. on May 30, 2001, the strategic goal was clear: make USB useful in products that were not conventional personal computers. ScanLogic supplied embedded USB host and controller technology that could let devices such as PDAs, phones, cameras, set-top boxes and game consoles control USB peripherals without a PC acting as the host.
The announcement date and closing date differ slightly. Cypress said it had acquired ScanLogic on May 30, while its later Form 10-K recorded the transaction as completed effective May 29, 2001.
What Cypress acquired
ScanLogic was a privately held USB-controller company based in Burlington, Massachusetts. Its products served embedded and PC applications, with contemporary reports describing two embedded-host product lines already in production and additional embedded-host and mobile-host products under development.

ScanLogic’s 18 employees joined Cypress and were expected to remain in Burlington. The acquisition was accounted for as a purchase transaction.

Why embedded USB mattered
Early USB deployments were largely PC-centered. The computer supplied the host intelligence: it detected and enumerated connected devices, loaded the necessary software support and controlled peripherals such as keyboards, mice, cameras and printers.
An embedded USB host reverses that assumption. A PDA, digital camera, cellular phone, set-top box or other device can contain the controller and firmware needed to initiate USB communication and manage a connected peripheral. The result is USB connectivity without a desktop or notebook computer in the middle.
That did not make USB an unrestricted peer-to-peer network. Host roles, enumeration, protocol handling and device-class support still mattered. It did, however, allow more products to take on functions previously associated mainly with PCs.
ScanLogic’s role in Cypress’s USB strategy
ScanLogic was Cypress’s third USB-related acquisition. Cypress had already acquired Intel’s USB business in 1999 and had bought Anchor Chips, a San Diego USB chip supplier.

The ScanLogic deal filled a different gap. Cypress already had a significant position in USB peripheral controllers; ScanLogic added embedded host and controller capabilities. Contemporary coverage described Cypress’s broader USB focus as spanning three areas:
- USB 2.0 peripheral products;
- embedded USB controllers; and
- USB On-The-Go, an emerging approach intended to let devices other than traditional PCs act as hosts.
Reports said Cypress was not pursuing the conventional PC host-controller market. The objective was instead to supply technology for embedded products that needed to control USB accessories.
Target markets were opportunities, not proven wins
Cypress and contemporary industry coverage identified several possible application areas:

These were target markets and intended application areas, not evidence that ScanLogic technology had immediately won production designs in every category. A USB controller was only one part of the system. Product developers still needed firmware, drivers or class support, power management, connectors, validation and broader system integration.

The price discrepancy: $22 million versus $30.1 million
Contemporary reporting was not uniform about the transaction’s financial terms. Some reports described the acquisition as an all-cash transaction with undisclosed terms, while one report characterized it as a $22 million cash deal.
Cypress’s later SEC filing provides the more complete accounting record. It reported total consideration of $30.1 million, consisting of:

The $22 million figure should therefore be attributed to contemporaneous deal reporting, while $30.1 million is Cypress’s later reported total consideration. The figures describe different reporting perspectives and should not be presented as though they were the same number.

Revenue and integration expectations
ScanLogic reported approximately $3.8 million in first-quarter revenue. Cypress projected that ScanLogic could contribute roughly $20 million to $25 million in revenue, although contemporaneous articles differed over whether that estimate referred to 2001 or 2002.

That was a management forecast, not a verified result. The available transaction coverage does not establish whether ScanLogic achieved the projection. Cypress also said it expected the acquisition to be accretive to 2001 earnings; that statement should likewise be treated as an expectation rather than a confirmed outcome.
The retention of the 18-person team was strategically important. Embedded USB required specialized hardware and software knowledge, and keeping the engineering group in Burlington helped preserve that expertise during integration.

The deal did not mean Cypress had suddenly made every phone, camera or vehicle USB-enabled. It gave Cypress technology aimed at those markets and strengthened its ability to sell embedded host solutions.

The more accurate interpretation is that Cypress was positioning USB for a change in system architecture. The PC would remain an important host, but it would no longer have to be the only intelligent device in the connection.
Why the 2001 deal matters historically
Cypress’s ScanLogic acquisition captured an important transition in connectivity design. USB had become successful as a way to attach peripherals to computers; the next opportunity was to put host capability into consumer electronics, handhelds and other embedded systems.
In that sense, the headline that Cypress was bringing USB into non-PC markets is directionally correct. The company was not entering USB for the first time, and the acquisition did not by itself prove adoption across the listed markets. Its significance was narrower and more precise: ScanLogic helped extend Cypress’s USB portfolio from conventional peripheral controllers toward embedded products that could initiate and manage USB connections themselves.
