Seattle-founded SingleFile announced a $9 million Series A on February 19, 2025, led by Foundry Group. The company sells software and related services for managing corporate entities and recurring compliance filings; it said the new capital would fund platform development, additional compliance capabilities and operational expansion.
What the $9 million round includes
Foundry Group led the financing, with participation from existing backers and legal-industry investors, including Pioneer Square Labs, The LegalTech Fund, Wilson Sonsini, Cooley, DLA Piper, Fenwick, Perkins Coie and individual lawyers from K&L Gates. SingleFile said the round brought its total funding since its 2019 founding to more than $24 million, including $15 million raised in the preceding 12 months. These totals are company-reported; the funding announcement does not constitute audited financial disclosure.
The company said it would use the money to expand its compliance platform, increase research and development, add compliance capabilities and scale operations. GeekWire reported a separate $6.5 million round in 2024. Earlier financing figures and third-party aggregate totals are not consistently presented, so the company’s stated total is the clearest figure to use for this announcement.

The problem SingleFile is trying to solve
A business can have several legal entities, each with its own records, addresses, officers or managers, and filing obligations. Those entities may be registered in multiple states, where annual reports, renewals and other requirements have different deadlines and procedures. Companies and their advisers can end up tracking the work across spreadsheets, email, law-firm systems, state portals and registered-agent providers.
A missed filing can have consequences that vary by jurisdiction and filing type, from penalties or loss of good standing to loss of authorization to do business or dissolution-related problems. SingleFile’s proposition is to centralize entity information, deadlines and filing workflows, while helping companies work with law firms and other advisers. Its materials describe a platform that combines entity management with filing and registered-agent-related services.
That is not the same as a guarantee that every obligation has been identified or every filing will be accepted on time. A state may change its forms or portal, reject a submission because entity details do not match, or be unavailable when a filing is due. The customer still needs complete records and a clear understanding of which entities, jurisdictions and filing types are covered.

Law firms are central to its distribution
SingleFile serves law firms as well as corporate legal teams and investment firms. A law firm can use a shared system to coordinate entity-compliance work across multiple clients; that adviser relationship is an important part of the company’s model, rather than an incidental user group. The company said in February 2025 that it served more than 60 law firms, including 33 Am Law 200 firms, and more than 4,000 customers. Those are company-reported adoption figures, not independently audited counts.

It may be less compelling for a small business with one entity that only needs an occasional filing or registered-agent address. SingleFile’s public pricing was not verified in the cited coverage, so buyers would need to ask the company about current pricing and product scope.

CTA reporting brought attention, but is not the whole business
SingleFile introduced a product for Corporate Transparency Act (CTA) reporting in 2024. LawNext reported that demand connected to CTA activity helped accelerate growth, while CEO Aaron Finn said CTA was not the company’s only business or even the majority of it. The broader opportunity described by the company is recurring entity administration and compliance work beyond a single reporting regime.
The funding coverage establishes the CTA product’s role as a growth catalyst around 2024–2025; it does not establish the reporting obligations or deadlines that apply today. CTA requirements and their legal status have been subject to litigation and policy changes. Businesses should check current government guidance and obtain appropriate legal advice rather than infer an obligation from this funding story.

SingleFile was founded in 2019 and incubated by Seattle startup studio Pioneer Square Labs. Aaron Finn is CEO and previously founded and led AdReady. Founder Sean Flynn is chief legal officer and was formerly an executive at ProQuest. The company also appointed Mindy Lauck as chief product officer and Teresa Kotwis as chief financial officer as it expanded, according to the company announcement and GeekWire.

The difficult test is breadth and reliability: a platform must keep records accurate, support the relevant jurisdictions and filing types, and make clear when a customer needs legal or other professional judgment. The $9 million round signals investor support for that opportunity, not proof that automation eliminates compliance risk.

What a prospective customer should verify
- Which jurisdictions and filing types are supported, and whether the service tracks obligations, prepares filings, submits them, or confirms acceptance.
- Whether registered-agent service is included, and how a change of agent is coordinated to avoid a gap.
- How the system handles rejected filings, portal outages and changes to entity names, addresses, officers or ownership.
- Whether law firms can manage multiple client organizations and what audit trail, integrations and data-security controls are available.
- How fees are calculated—per entity, filing, jurisdiction, user or contract—and whether government fees are separate.
SingleFile sits in a market that also includes traditional registered-agent and corporate-services providers, broader entity-management platforms, specialized reporting tools and manual in-house or law-firm processes. These alternatives are not interchangeable: buyers should compare the actual services, supported jurisdictions, workflow and professional support they need, rather than treating every compliance product as a full substitute.
