Commvault acquired certain Clumio assets on October 1, 2024, to expand its cloud-native data-protection and cyber-resilience capabilities. The deal was announced on September 24, 2024, and ultimately involved final cash consideration of $44.311 million—not an undisclosed or full-company purchase price.
Clumio now operates as “Clumio, a Commvault Company.” Its technology remains focused on protecting cloud workloads, especially Amazon S3, DynamoDB, Aurora, EC2, and EBS, while current documentation also covers Google Cloud Storage, Amazon Neptune, and Amazon DocumentDB.

Commvault’s announcement described the transaction as an effort to accelerate protection for cloud-native applications and data. Later SEC filings confirmed that the transaction closed on October 1, 2024, and that Commvault acquired certain assets of Clumio, Inc.

This was an asset acquisition, not simply a purchase of Clumio’s entire company under a new owner. Commvault’s fiscal 2025 filing describes the acquired assets and assumed liabilities, including intangible assets, goodwill, accounts receivable, deferred tax assets, and certain liabilities.

The distinction matters because “Commvault bought Clumio” can imply that every part of Clumio’s corporate structure, contracts, and operations transferred unchanged. The more precise description is that Commvault acquired the assets and capabilities needed to bring Clumio’s cloud-native backup technology, expertise, and related operations into its portfolio.
Commvault also disclosed compensation arrangements involving Clumio’s co-founders and certain employees. That supports viewing the transaction as both a technology acquisition and a talent and cloud-engineering capability acquisition, although the companies—not an independent post-deal study—provided the strategic rationale.
How much did Commvault pay for Clumio?
At announcement, Commvault said the purchase price was not material and did not disclose a number. That statement is now incomplete if presented without a date.
Commvault’s subsequent filings reported:
- Initial cash consideration: $44.909 million.
- Final cash consideration: $44.311 million.
- Adjustment: The final amount was $598,000 lower than the initial consideration.
The final figure is reported in Commvault’s transaction accounting disclosure; the closing date and initial consideration also appear in the company’s SEC filing.
Commvault said at the time that it expected the transaction to be immediately accretive to annual recurring revenue and revenue, and accretive to free cash flow within the following three quarters. Those are management’s stated expectations, not an independently verified performance result.
Why did Commvault want Clumio?
To strengthen cloud-native protection
Traditional backup platforms commonly developed around physical servers, virtual machines, file systems, and enterprise databases. Cloud services such as S3 and DynamoDB work differently: they are managed services with their own versioning, retention, permissions, object or item models, storage classes, snapshots, and recovery APIs.
Clumio gave Commvault a more specialized cloud-native foundation, particularly for AWS. The original announcement highlighted protection for Amazon S3, DynamoDB, Aurora, EC2, and EBS. The strategic gap was not simply “more cloud storage”; it was the ability to protect and recover data that customers consume through cloud-service APIs rather than through conventional backup agents.

Commvault positioned the deal as part of a broader move from conventional backup toward cyber resilience. In practical terms, that means combining data protection with recovery options for accidental deletion, corruption, outages, and ransomware-related incidents.
For AWS customers, that can require more than a snapshot or a versioning setting. A resilient design must consider whether the backup copy is separated from the production account, whether attackers could alter recovery points, how permissions are isolated, how quickly a recovery can be validated, and what cloud-provider transfer charges apply.

To add cloud expertise and talent
Commvault specifically highlighted Clumio’s technology, talent, and AWS expertise. That makes the transaction relevant beyond the product name: Commvault was acquiring engineering knowledge in cloud-native backup and recovery as well as a set of customer-facing capabilities.
What Clumio’s product does
Clumio is a SaaS-oriented backup and recovery platform for cloud data and applications. Its capabilities include policy-based protection, air-gapped backup copies, cross-account and cross-region recovery in supported scenarios, and granular recovery for selected workloads.
The exact recovery options depend on the service, protection tier, region, and configuration. Depending on the workload, recovery may be available at the object, prefix, bucket, table, record, database, file, or volume level.
Amazon S3: SecureVault and Backtrack
S3 protection is one of the clearest examples of why the acquisition mattered. S3 is an object store, not a conventional file server. A recovery design must account for object versions, delete markers, storage classes, lifecycle policies, and potentially very large object counts.
Clumio’s S3 capabilities divide into two different approaches:
- SecureVault: creates a separate backup copy intended to provide stronger separation from the production bucket or account.
- Backtrack: uses S3 Versioning and the version history in the customer’s AWS account to roll data back in place.
Backtrack can support rollback at bucket, prefix, or selected-object scope and can undo delete markers where the required version history exists. It is not a substitute for an independently stored recovery copy: if the production account or version history is compromised or unavailable, in-place rollback may not be enough.

Clumio’s S3 backup documentation says Backtrack requires S3 Versioning and is not compatible with the Glacier storage class except Glacier Instant Retrieval. The service also checks for object changes on a regular cycle, generally around 15 minutes, subject to the documented synchronization behavior. Protection groups can produce partial backups when some assets do not back up successfully, with an alert generated for the condition.
Amazon EBS and EC2
For EBS, Clumio supports both remote SecureVault backups and AWS snapshots. SecureVault copies are stored remotely and retained according to policy. AWS snapshots remain in the customer’s AWS account and are managed through Clumio policies.
EBS SecureVault Standard supports file indexing, file-system browsing, and file restoration. The Lite tier provides fewer granular-recovery features and requires a minimum 30-day retention period. A documented limitation is that file-level indexing does not fully support international character sets for certain POSIX file systems.

Organizations should therefore test representative file systems—including international filenames—before assuming that every EBS volume can be browsed and restored at the same level of detail.

Amazon DynamoDB
Clumio supports DynamoDB SecureVault backups and snapshots, including recurring and on-demand backups, continuous backup, point-in-time recovery, and table- or record-level recovery options.
The documentation lists default retention figures of seven days for on-demand backups and 35 days for continuous backup unless configured otherwise. These are defaults, not universal retention requirements. A production policy should be set against the business recovery point objective, regulatory requirements, and the cost of retaining processed items.
Aurora, Neptune, DocumentDB, and Google Cloud Storage
Current documentation shows a broader scope than the AWS-centered 2024 announcement. Clumio supports Amazon Aurora and other RDS-related services, and release notes state that general availability for Amazon Neptune and Amazon DocumentDB protection was added in March 2026. Pricing for those services is aligned with Amazon Aurora according to the release notes.
Clumio also supports SecureVault Standard and Archive protection for Google Cloud Storage. However, GCS is not feature-equivalent to S3. The documented GCS configuration lacks Instant Access, Backtrack, and out-of-region backup. That means it is no longer accurate to call current Clumio “AWS-only,” but it is equally inaccurate to assume that GCS has every AWS feature.

Clumio’s support materials now use the name “Clumio, a Commvault Company.” Commvault has published product documentation, release notes, pricing, and customer announcements under its own web properties.
Existing Clumio customers
Existing customers should verify four practical items rather than rely on the acquisition announcement alone:
- Contracting: confirm which entity now provides the service and whether renewal or invoicing terms changed.
- Support: confirm support channels, escalation procedures, service-level commitments, and account ownership.
- Product roadmap: identify whether the deployed service remains supported as configured and whether migration or feature changes are planned.
- Recovery testing: run a restore test under current permissions, retention, and network rules instead of assuming that the acquisition preserves every workflow.
Existing Commvault customers
Commvault customers should not assume that Clumio functionality is automatically included in every existing Commvault agreement. Ask whether the relevant AWS or GCS workload, protection tier, object or item charges, and restore operations require separate licensing or a new order form.
The acquisition expands Commvault’s portfolio; it does not automatically mean that a traditional backup subscription covers every cloud-native service.

New buyers
New buyers should evaluate Clumio by workload and recovery objective, not by acquisition branding. The key questions are whether the product protects the organization’s exact cloud services, whether recovery is granular enough, whether a separate copy is required, and whether the total cost remains acceptable after restore and transfer charges.

Commvault publicly lists usage-based Clumio pricing. The following examples are public rate-card figures shown in August 2026 and should not be treated as a quote:

Storage price alone is not a reliable estimate of total cost. A realistic model should include:
- Logical data volume protected.
- Number of objects or items.
- Backup frequency and synchronization behavior.
- Retention period and archive early-deletion exposure.
- Restore volume and restore frequency.
- API-request, retrieval, and object-management charges.
- Cross-region or internet data-transfer costs.
- AWS or GCP storage and request charges.
- Any subscription minimums or contractual commitments.
Restore speed is also workload- and tier-dependent. A rate-card reference to “instant” does not mean every dataset is immediately usable in every recovery scenario.
SecureVault versus Backtrack: the central trade-off

Neither mechanism should be described as a universal answer. An air-gapped copy, an immutable copy, S3 versioning, a snapshot, and logical account separation are related but different controls.
Important limitations and failure modes
- Backtrack requires S3 Versioning. Without version history, the in-place rollback workflow is unavailable.
- Glacier support is limited. Backtrack does not support Glacier except Glacier Instant Retrieval.
- Backups can be partial. A protection group may contain assets that fail to back up successfully.
- Features vary by service and tier. Cross-account, cross-region, indexing, retention, and recovery capabilities should be checked for each workload rather than generalized from S3.
- GCS is not feature-equivalent to S3. Current documentation lists limitations involving Instant Access, Backtrack, and out-of-region backup.
- EBS file recovery has character-set limitations. This can matter for internationalized POSIX file systems.
- Cloud dependency remains. Customers still depend on AWS or GCP permissions, quotas, account configuration, service availability, and transfer pathways.
- A second copy is not automatically immutable. Buyers should confirm who can delete, alter, or administer recovery points and how those permissions are separated.
Who is Clumio by Commvault a good fit for?
Clumio may fit organizations that:
- Run substantial AWS-native workloads rather than only traditional servers or virtual machines.
- Depend on S3, DynamoDB, Aurora, EC2, EBS, or related services.
- Want a managed SaaS control plane instead of operating backup infrastructure themselves.
- Need separated recovery copies for ransomware resilience.
- Require granular cloud-object or database recovery.
- Already have a Commvault relationship that could simplify procurement or operations.
It may be a poor fit when the environment is primarily Microsoft 365, endpoints, physical servers, or on-premises data; when the buyer needs a single platform with deep coverage across many non-cloud workloads; or when the required feature is unavailable for the relevant service or storage class.
It may also be unsuitable for buyers who cannot tolerate restore-related egress and retrieval charges, require immutable copies under their own storage-account controls, or need a broader disaster-recovery orchestration suite rather than primarily cloud data protection.

These are use-case categories, not a ranking. A sound decision requires current licensing quotes, workload-specific feature validation, and restore testing.
What the acquisition means overall
The acquisition gave Commvault a stronger cloud-native foundation, especially for AWS data and applications. It also broadened the practical meaning of Commvault’s cloud-resilience portfolio beyond traditional backup infrastructure.
But the transaction should not be read as proof that Clumio replaced every enterprise backup capability, that every Clumio feature is available for every cloud, or that every existing Commvault customer automatically receives the service. The product is best evaluated as a specialized cloud-workload protection capability within Commvault’s broader portfolio.
