Binary Defense closed a $36 million first institutional growth-equity round on November 2, 2022, led by Invictus Growth Partners. The previously bootstrapped cybersecurity company said it would use the funding to accelerate sales and marketing, expand its partner ecosystem, invest in machine learning, and develop its Managed Open XDR offering.
The transaction was historical—not a new 2026 financing announcement. Binary Defense announced the round, while SecurityWeek reported it on November 4, 2022.

The public announcement did not disclose the company’s valuation, the ownership percentage sold, whether debt was included, or the identities of any additional participating investors. It also did not describe the financing as a Series A, so that label should not be applied without another source establishing it.
What Binary Defense sells
Binary Defense provides managed detection and response, or MDR, and related cybersecurity software and services. MDR combines security technology with external analysts who monitor customer environments, investigate suspicious activity, hunt for threats, and help coordinate response around the clock.

The company’s 2022 strategy also emphasized Managed Open XDR. XDR is an approach to correlating security data across multiple domains, such as endpoints, networks, cloud systems, identities, and other log sources. “Open” generally indicates an effort to work across a customer’s existing security products rather than requiring a single proprietary stack.
This is different from selling only a software license. Binary Defense’s 2022 proposition combined a platform, security analysts, threat hunting, and response services. SOC-as-a-Service is a broader description of outsourcing some security-operations functions; MDR is more specifically centered on detecting and responding to threats.
How the company planned to use the money
- Sales and marketing: Binary Defense said the financing would support customer acquisition, brand expansion, and broader access to security leaders.
- Partner expansion: The company planned to broaden channel and technology partnerships to increase distribution.
- Machine learning: Proceeds were intended to support technology-enabled analysis and automation.
- Managed Open XDR: Funding would help develop a broader platform for integrating endpoint, network, cloud, and other security data.
These were announced uses of proceeds, not independently audited evidence that every objective was completed.
Why the investment mattered in 2022
MDR was attractive to organizations facing two persistent problems: increasingly sophisticated attacks and a shortage of personnel able to operate a 24/7 security operations center.

An MDR provider can give a company access to continuous monitoring, investigation, escalation, and threat hunting without requiring it to hire and retain a complete internal SOC. Growth capital can help an established provider add analysts, improve automation, expand integrations, and build a larger sales and partner operation.
That does not make MDR a replacement for every internal security function. Customers still need identity security, vulnerability management, backups, governance, incident management, and clear ownership of remediation. MDR performance also depends on the quality and breadth of the telemetry a provider can access.
Management and investor involvement
Binary Defense identified David Kennedy and Mike Valentine as co-founders. Bob Meindl was the CEO quoted in the 2022 announcement, while Kennedy was identified as chief hacking officer. Those titles describe the company at the time of the transaction and should not be treated as a current leadership roster.

Invictus Growth Partners led the round. Its investment focus included bootstrapped and capital-efficient companies in cloud software, cybersecurity, and fintech. Invictus co-founder and managing partner John DeLoche and principal Jeremy Lai also commented on the investment. Their descriptions of Binary Defense’s capabilities and “hacker’s mindset” were investor positioning, not independent performance validation.

What Binary Defense looks like now
Binary Defense’s current website presents a broader product story centered on NightBeacon, which it describes as an AI-enabled SOC platform. The company says customers can have Binary Defense operate the platform as MDR or use NightBeacon CMD themselves.
The current site also lists MDR, threat hunting, digital-risk protection, phishing response, and co-management services. Binary Defense says NightBeacon supports more than 116 connectors across nine categories, prepares approximately 90% of an investigation before analyst review, and records AI actions with an owner and timestamp. These are company-reported claims, not independently verified benchmarks.

What the funding means for MDR buyers
The financing itself does not establish that Binary Defense is the best provider for any particular organization. A prospective customer should evaluate the operating details behind the platform and service.
Questions to ask before buying
- Telemetry: Does the service cover the organization’s endpoint, identity, email, cloud, network, SaaS, and critical-application data?
- Response authority: Can the provider isolate endpoints, disable accounts, block indicators, or change email and firewall controls? Which actions require approval?
- Human operations: Where are analysts located, how does escalation work, and how frequently are threat hunts performed?
- Existing tools: Can the provider use the organization’s current EDR, SIEM, identity, and cloud products, or does it require replacement technology?
- Evidence: Are investigations, timestamps, analyst notes, decision rationale, and detection mappings available for audits and incident response?
- Commercial terms: Is pricing based on endpoints, users, workloads, log volume, or a custom model? Are onboarding, retention, storage, or incident-response charges separate?
Special cases require additional scrutiny. Industrial environments may restrict active response during production windows. Regulated organizations should verify data residency, evidence retention, and breach-notification support. Global companies should confirm whether U.S.-based operations satisfy their geographic and follow-the-sun requirements. A company with a mature security team may prefer co-management or platform-only deployment rather than fully outsourced MDR.
How it compares with other MDR options
Binary Defense is one option in a crowded MDR market. CrowdStrike Falcon Complete MDR is closely tied to the CrowdStrike security ecosystem. Arctic Wolf MDR offers a dedicated managed-security operation and platform. Huntress MDR is often positioned toward managed-service providers and small-to-medium organizations.

These providers generally use sales-led or quote-based purchasing. No dependable standardized public price was identified for Binary Defense, CrowdStrike Falcon Complete, Arctic Wolf MDR, or Huntress MDR. Buyers should compare minimum commitments, included telemetry, response permissions, analyst coverage, incident-response fees, data-retention charges, compliance requirements, and data portability rather than relying on headline funding or marketing language.
The investment’s significance
Binary Defense’s $36 million round was significant because it marked the transition of a bootstrapped MDR company into institutionally backed growth. The stated objective was to scale an operating business—not simply fund initial product development—through larger go-to-market efforts, partnerships, machine learning, and Managed Open XDR expansion.
For investors and technology reporters, the key qualification is timing: this was a November 2022 financing announcement. For prospective customers, the more relevant question is how Binary Defense’s current NightBeacon platform, MDR operations, integrations, response model, and contract terms fit the customer’s environment.
