Amazon and iRobot Abandoned Their $1.4 Billion Deal After Antitrust Scrutiny

Amazon and iRobot mutually terminated their proposed acquisition on January 29, 2024, after Amazon said it saw “no path to regulatory approval” in the European Union. The deal ended before either the EU or the U.S. Federal Trade Commission issued a final order blocking it. Amazon called the regulatory hurdles disproportionate; regulators had raised concerns about competition in Amazon’s marketplace and the robot-vacuum market.

What happened to the Amazon–iRobot deal?

The companies signed their merger agreement on August 4, 2022. They agreed to end it effective January 28, 2024, and announced the termination the next day. Amazon paid iRobot a $94 million termination fee. iRobot said it would continue as an independent company.

The transaction was first announced at about $1.7 billion, then reduced to approximately $1.4 billion in 2023. The lower figure reflected an amended agreement made alongside financing for iRobot as its financial position weakened. The two figures refer to different versions of the deal, not conflicting reports. GeekWire’s transaction chronology describes the revised value and price change.

It is more accurate to say the deal was abandoned amid regulatory opposition than that the EU formally blocked it. The parties terminated the transaction before the European Commission issued a final prohibition decision or a U.S. court entered an order stopping it.

Why Amazon said it could not proceed

Amazon said the transaction had “no path to regulatory approval” in the EU and described the hurdles as “undue and disproportionate.” It argued that the acquisition could have helped iRobot compete, supported innovation and lowered prices. Those are Amazon’s arguments and predictions, not outcomes established by the regulatory process. Amazon’s announcement sets out its position.

What regulators were concerned about

The European Commission’s reported concerns centered on Amazon’s dual role: it operates a major online marketplace, and iRobot sells robot vacuums that compete with products offered by other sellers there. Regulators considered whether Amazon might use that position to make rival products harder to sell or find—for example, by limiting listings, visibility or advertising opportunities, using marketplace data to its advantage, or imposing less favorable terms. These were risks under examination, not findings that Amazon had already taken such actions against robot-vacuum rivals. GeekWire’s report summarizes the EU competition concerns.

The U.S. FTC was also investigating, so Europe was not the only regulatory obstacle. The FTC said its investigation identified concerns about Amazon’s ability and incentive to favor its own products, disadvantage competitors, raise barriers to entry, affect innovation and implicate consumer privacy. The agency welcomed the termination, but its public statement does not say that it filed a lawsuit or obtained a court order to block this transaction. Read the FTC’s statement.

The competing arguments point to the core trade-off. Amazon said a purchase could bring iRobot resources, scale and distribution. Regulators worried that combining a major marketplace with a seller could create incentives to favor that seller and weaken competition. The deal never closed, so neither side’s predicted consumer outcome—lower prices and faster innovation, or reduced competition and choice—was tested through the combined business.

Why the revised deal value mattered to iRobot

The acquisition’s initial $1.7 billion headline gave way to a roughly $1.4 billion revised value after the parties amended their arrangement in 2023. The change was associated with iRobot’s need for a new $200 million financing facility and worsening financial conditions. The lower number is therefore the relevant value for the deal as it stood when it was terminated.

The failed transaction landed as iRobot was already under substantial pressure. In its restructuring announcement, the company reported preliminary 2023 revenue of about $891 million, down roughly 25% year over year, and projected a GAAP operating loss of $265 million to $285 million. It announced a restructuring, the departure of founder and CEO Colin Angle, and plans to eliminate about 350 jobs—31% of its workforce. The timing does not establish that the termination alone caused the cuts; iRobot’s own figures show it was already facing declining revenue and a large loss. iRobot’s restructuring announcement provides the company’s figures and plans.

Where the $94 million termination fee went

The fee was significant, but it was not simply unrestricted cash available for iRobot’s day-to-day spending. iRobot said approximately 20% would go toward professional and financial-advisor fees. It planned to use $35 million immediately to repay part of its term loan, with roughly $40 million restricted for future debt repayment, subject to limited rights to use funds for inventory. What the collapse means for Roomba owners

Amazon never acquired iRobot, so Roomba ownership and control did not transfer to Amazon as a result of this deal. The termination itself did not mean Roomba products stopped working, change warranties or automatically move customer accounts or home maps to Amazon. iRobot remained the company responsible for its products and support. Owners should check iRobot’s current product, warranty, software and privacy information for any later changes; the deal’s cancellation does not guarantee a particular future privacy policy or service decision.

Why the deal mattered beyond robot vacuums

For Amazon, the acquisition would have added the Roomba brand and iRobot’s experience in cleaning robots, mapping and navigation to a consumer-device portfolio that already includes Alexa, Ring and Astro. It fit a broader effort to expand in connected-home hardware and robotics. The deal’s failure leaves Amazon without that acquisition, but does not by itself establish what the company will do next.

For the wider technology market, the case illustrates why regulators may scrutinize a platform’s acquisition of a product company even when the target is not itself a major online platform. The question is not only how many vacuums the buyer might sell, but also whether ownership could affect the terms and visibility available to competing sellers on a marketplace. At the same time, Amazon’s argument raises a real financing concern: regulatory uncertainty can make acquisitions—a potential source of capital or an exit for a struggling hardware company—harder to complete. The iRobot case adds to that debate, but does not prove that every similar acquisition will be blocked.
