Advent International’s acquisition of u-blox is no longer pending. Advent agreed in August 2025 to buy the Swiss positioning and wireless-communications company for CHF 135 per share in cash, implying an equity value of approximately CHF 1.05 billion—about $1.3 billion at the exchange rate used in contemporary coverage. The acquisition closed on November 26, 2025, and u-blox was delisted from the SIX Swiss Exchange on May 18, 2026.
What Advent bought
The buyer was Advent International, acting through its indirect subsidiary ZI Zenith S.à r.l. The target was u-blox Holding AG, a Swiss provider of positioning and short-range wireless technologies.
u-blox develops GNSS and other positioning semiconductor solutions, as well as Wi-Fi and Bluetooth modules and related hardware and software. Its technologies are used in embedded applications across automotive, industrial equipment, tracking, agriculture, robotics and consumer products. It is more precise to describe u-blox as a positioning and connectivity technology supplier than simply as an “IoT chipmaker” or consumer IoT platform.
The original announcement was a Swiss public cash tender offer for publicly held registered shares. u-blox’s board unanimously concluded that the transaction was in the company’s best interests. The offer was subject to customary conditions and regulatory approvals.

Advent’s announcement and the offer prospectus set out the formal transaction terms.
How much was the offer worth?
- Offer price: CHF 135 in cash per registered share.
- Implied equity value: approximately CHF 1.05 billion.
- Approximate dollar value: $1.3 billion, based on the exchange rate cited in contemporary reporting.
- Premium: 53% to u-blox’s undisturbed six-month volume-weighted average share price and 32% to its undisturbed 60-trading-day VWAP.
The premium requires some context. u-blox shares closed at CHF 138.60 on August 15, 2025, before the formal offer announcement. Therefore, CHF 135 was below that immediately preceding closing price even though it represented a substantial premium to longer-term unaffected averages. The 53% figure does not mean Advent offered more than every recent market price.
The CHF 1.05 billion figure is an equity valuation, not necessarily the same as enterprise value. The $1.3 billion figure is an approximate currency conversion; the formal offer was denominated in Swiss francs.
Why u-blox was being reshaped before the buyout
The takeover came after a significant strategic change inside u-blox. In January 2025, the company said it would focus more heavily on its Locate business and phase out its Cellular business.

- Versatile Connectivity: Connects via USB to a wide range of devices, including smartphones, tablets, and computers
- Compact Design: Measures just 4 x 2 x 0.2 inches, making it easy to carry and mount in vehicles
- Voice Recognition: Features voice recognition for hands-free control and convenience
- Included Components: Comes with a Micro SD Card for additional storage and functionality
u-blox said the Cellular operation employed more than 200 people, generated CHF 27 million in revenue during the first half of 2024 and recorded an adjusted EBIT loss of more than CHF 15 million during that period. The company expected the restructuring to eliminate at least CHF 30 million in annual EBIT losses, while taking an estimated one-time negative EBIT impact of about CHF 65 million in the first quarter of 2025.
u-blox agreed to sell the Cellular business to Trasna on March 14, 2025, and completed that divestment on June 6, 2025. The resulting company was more concentrated in GNSS and other positioning solutions, automotive and industrial location applications, and short-range connectivity.
This context matters because Advent was buying a business in the middle of a transformation, not a fully settled growth story. The investment case depended in part on whether u-blox could turn its more focused portfolio, cost reductions and exposure to areas such as autonomous vehicles, tracking, agriculture and mobile robotics into sustainable growth and cash generation.

It also reported net cash of approximately CHF 100.7 million as of June 30, 2025. These figures should be read carefully because continuing-operations results, discontinued operations and different EBIT measures were affected by the Cellular disposal and restructuring.

Why Advent pursued u-blox
Advent described u-blox as a recognized leader in high-performance positioning and short-range communication technologies. Advent and u-blox presented private ownership as a way to provide greater flexibility, investment capacity and speed in pursuing the company’s longer-term strategy.
That is the stated rationale, not proof of a particular future plan. The available transaction materials do not establish that Advent intends to make specific acquisitions, reduce the workforce, increase leverage, discontinue products or pursue a later initial public offering.
Timeline from announcement to delisting
| Date | Event |
|---|---|
| January 14, 2025 | u-blox announces its Locate-focused strategy and Cellular phase-out. |
| March 14, 2025 | u-blox agrees to sell the Cellular business to Trasna. |
| June 6, 2025 | The Cellular divestment closes. |
| August 15, 2025 | u-blox confirms it is in talks with Advent but says no transaction is certain. |
| August 17, 2025 | Advent announces the CHF 135-per-share tender offer. |
| August 27, 2025 | The offer prospectus is published. |
| October 29, 2025 | The additional acceptance period ends and the offer is declared successful based on definitive interim results. |
| November 26, 2025 | Advent completes the acquisition and begins the process for a statutory squeeze-out of remaining shareholders. |
| May 6, 2026 | u-blox announces the cancellation of remaining publicly held shares and the planned delisting. |
| May 18, 2026 | u-blox is delisted from the SIX Swiss Exchange. |
The sequence is important. A successful tender offer did not instantly eliminate every remaining share. The later court-approved cancellation of remaining publicly held shares and the delisting were separate steps. As of September 2026, u-blox is no longer publicly traded.
What “go private again” means
u-blox had been listed on the Swiss exchange since 2007. Advent’s transaction reversed that public-company status, returning u-blox to private ownership. “Go private again” is therefore historically accurate, but the current description is that u-blox has gone private.

What the deal means for stakeholders
Shareholders
Shareholders who tendered shares, or whose shares were covered by the transaction’s later compulsory-acquisition mechanics, received the CHF 135-per-share cash consideration under the applicable process. Investors evaluating the offer needed to distinguish the premium to unaffected VWAPs from the price relative to the latest market close, and equity value from enterprise value.
Non-tendering shareholders were not simply left with a normally traded public investment. The transaction proceeded through a squeeze-out and court-approved cancellation process, ending with the May 18, 2026 delisting.
Employees
u-blox had already been reducing organizational complexity and restructuring before Advent’s acquisition. The Cellular phase-out affected more than 200 employees. Advent’s ownership may bring new operating targets, but no additional workforce actions should be assumed without a specific company or regulatory announcement.

At closing, Advent said u-blox would remain focused on its existing business and described the acquisition as the beginning of a long-term partnership. u-blox also communicated that its contracts, support, brand and team would remain unchanged; those statements are company representations rather than independently verified guarantees about every customer or product.

Customers and suppliers should nevertheless review practical matters such as change-of-control clauses, contracting entities, product-support commitments, supply arrangements, data-processing terms and the long-term availability of individual product lines. No source in the transaction materials establishes broad customer disruption.
Management
u-blox announced that Andreas Thiel and Camila Japur would become co-CEOs effective January 1, 2026, alongside other executive changes. The leadership transition fits the broader shift toward a more focused positioning and connectivity business.
The investor takeaway
Advent’s u-blox deal was not merely a proposed private-equity buyout. It became a completed return to private ownership: Advent agreed to pay CHF 135 per share in August 2025, completed the acquisition in November 2025, and u-blox left the SIX Swiss Exchange in May 2026.

The transaction also followed a material portfolio reset. u-blox had sold its loss-making Cellular business and was concentrating on positioning and short-range connectivity. That made the company more focused, but it also meant Advent was acquiring during an execution phase. The central strategic question was whether private ownership could help u-blox invest and operate with a longer horizon while converting that focused technology portfolio into durable financial performance.
