On October 7, 2019, Dialog Semiconductor announced plans to buy German fabless chipmaker Creative Chips GmbH for $80 million in cash, with up to another $23 million contingent on revenue targets for 2020 and 2021. The proposed deal would add industrial Ethernet, mixed-signal and IO-Link-related technology to Dialog’s expanding industrial-IoT portfolio; the additional $23 million was not guaranteed consideration. EE Times reported the announcement and terms.
What Dialog announced
Dialog Semiconductor said it intended to acquire Creative Chips GmbH, a semiconductor developer headquartered in Bingen, Germany. The announced consideration consisted of $80 million in upfront cash and up to $23 million more if Creative Chips met revenue targets in 2020 and 2021. That makes $103 million the maximum stated consideration, not the guaranteed purchase price.
The contemporaneous report said the transaction was expected to close during the quarter. An expected closing is not confirmation that the deal closed, and that announcement alone does not establish its eventual completion or subsequent business results.
What Creative Chips made
Creative Chips was a fabless semiconductor company: it designed chips rather than operating its own chip fabrication plant. Its products and development work served industrial and building automation, particularly where sensors and other equipment need to communicate with control systems.

Industrial Ethernet and mixed-signal chips
The company developed integrated circuits for industrial Ethernet, along with other mixed-signal and custom ICs. Industrial Ethernet carries data among devices such as controllers, sensors and actuators on factory or building networks. Mixed-signal chips combine analog and digital functions, useful at the interface between physical signals from sensors and the digital systems that process them.
IO-Link and sensor connectivity
Creative Chips was also developing standard IO-Link IC products. IO-Link is used for point-to-point communication between industrial sensors or actuators and a controller or IO-Link master. These components address a part of the industrial-IoT stack: connecting equipment and sensors to industrial networks. The announced portfolio should not be confused with a complete factory network, cloud platform, gateway or finished IoT system.

EE Times described Creative Chips as having its headquarters in Bingen, near Frankfurt, and a design center in Dresden. The report also characterized the company as having roughly 20 years of history and established industrial-customer relationships; it did not name those customers.

The acquisition was intended to give Dialog a stronger foothold in industrial IoT and add wired industrial networking and sensor-interface technology to its mixed-signal portfolio. Creative Chips also brought engineering capability and existing customer relationships in industrial and building automation. Dialog’s stated strategic rationale included broadening its customer and end-market reach and complementing its industrial and automotive ambitions.

The significance is portfolio breadth rather than an asserted end-to-end IoT platform. Creative Chips supplied semiconductor connectivity and interface capabilities; the announcement did not establish that Dialog gained cloud software, complete industrial systems or specific automotive design wins.
How the deal fit Dialog’s other IoT acquisition
In May 2019, Dialog completed a $45 million cash purchase of the FCI product line from Silicon Motion Technology Corp. That transaction brought ultra-low-power Wi-Fi system-on-chips and modules aimed at battery-powered IoT devices, according to the contemporaneous EE Times report. The two transactions addressed different connectivity needs:

The contrast helps explain Dialog’s acquisition strategy: wireless links for low-power devices on one side, wired industrial networking and sensor connections on the other. Together, the purchases could broaden Dialog’s semiconductor exposure across embedded, industrial, building and other markets, but the announcements do not by themselves demonstrate successful integration or revenue synergies.

EE Times reported that Creative Chips was expected to generate approximately $20 million in 2019 revenue. Dialog also expected annual revenue growth above 25% over the following years; that was a forward-looking expectation, not a reported outcome.

These calculations are only rough revenue multiples. They do not account for profit margins, operating costs, cash generation, intellectual-property value, customer concentration, integration expense or whether the revenue forecast was achieved. Without those details or comparable transactions, the multiples do not establish whether the deal was cheap or expensive.
What remained uncertain
The announcement provided a strategic rationale and headline economics, but not enough information to judge the acquisition’s eventual financial performance. The $23 million earn-out made the final consideration dependent on revenue targets; the available report does not state the targets themselves or whether they were met.
- Closing and integration: The report described an expected closing, but did not establish completion, the integration plan or how the German design centers and teams would be managed.
- Revenue quality: Expected revenue and growth were reported, but not gross margin, operating profit, cash flow or customer concentration.
- Commercial execution: Industrial automation sales and design-win cycles can involve a different cadence from consumer-device markets. No later product adoption, customer retention or revenue contribution is established by the announcement.
- Portfolio fit: Dialog presented the technology as complementary, but detailed product specifications and a product-by-product overlap analysis were not reported.
Organic development, licensing or a partnership could have offered other routes into industrial connectivity, while a larger networking acquisition might have brought more scale. Those are strategic alternatives, not options that the announcement says Dialog formally considered. An acquisition offered a route to specialized technology and customer relationships, with the trade-off of purchase cost and integration demands.
