Infineon agreed to buy Cypress Semiconductor on June 3, 2019, for $23.85 per share in cash, and completed the acquisition on April 16, 2020. The companies described the transaction as having an enterprise value of €9 billion—commonly rounded in U.S. coverage to about $10 billion. That was not the same as the cash paid to Cypress shareholders: the reported aggregate consideration was approximately $8.946 billion.
Why the deal was called a $10 billion acquisition
“$10 billion” is a useful shorthand, but it obscures two different measures of transaction value. Infineon’s June 2019 announcement put the deal’s enterprise value at €9.0 billion. That euro figure was often converted or rounded to roughly $10 billion in U.S. coverage.
The offer itself was $23.85 in cash for each Cypress share. When the transaction closed, Infineon reported approximately $8.946 billion in aggregate per-share merger consideration paid to Cypress stockholders in its closing filing.

Enterprise value is a measure of the value of an operating business that accounts for debt and other claims as well as equity; it is not interchangeable with the cash paid to shareholders. So it is more accurate to say Infineon acquired Cypress in a transaction valued at approximately $10 billion than to say it handed exactly $10 billion to Cypress shareholders.

Why Infineon wanted Cypress
Infineon was already strong in power semiconductors, automotive chips, sensors and industrial electronics. Cypress added technologies that could broaden that portfolio, including embedded microcontrollers, memory, connectivity, programmable system-on-chip products, USB and wireless technologies, and security-related products. The companies presented the combination as a way to serve connected vehicles, industrial systems and Internet of Things devices with a wider range of components.
The strategic logic was portfolio breadth: a supplier with power, sensing, control, memory and connectivity products could seek a larger role in complex systems rather than selling only one category of chip. That logic was a management rationale for the deal, not proof that every product line would fit seamlessly or that customers would buy more as a result.

Infineon’s announcement projected annual cost synergies of about €180 million by 2022, long-term annual revenue synergies of more than €1.5 billion, and earnings accretion beginning in the first full fiscal year after closing. Those were forecasts made when the transaction was announced, not guaranteed or independently verified outcomes.
The price and shareholder premium
The $23.85-per-share all-cash offer represented a 46% premium to Cypress’s unaffected 30-day volume-weighted average share price, measured from April 15 through May 28, 2019, according to the transaction announcement. Cypress shareholders were therefore offered a fixed cash amount per eligible share rather than shares in the combined company.

For shareholders, that meant a defined exit price, subject to the merger closing and the agreement’s terms. It also meant giving up any future gains or losses from owning Cypress stock after the transaction. Infineon, in turn, took on the cost and execution risks of financing and integrating a major acquisition.
Approvals and the path to closing
The agreement was announced June 3, 2019, but the deal did not close immediately. It required Cypress shareholder approval and multiple regulatory clearances, including U.S. antitrust review, review by the Committee on Foreign Investment in the United States (CFIUS), European Commission review, and clearances in China and other relevant jurisdictions.

- October 16, 2019: The European Commission decided not to oppose the transaction.
- March 9, 2020: CFIUS completed its review and found no unresolved U.S. national-security concerns, as stated in a SEC-filed notice.
- April 16, 2020: Infineon completed the acquisition, roughly 10 months and 13 days after the announcement.
The European Commission’s non-opposition decision and the CFIUS milestone were part of a broader clearance process. The fact that the transaction closed does not mean it required no regulatory scrutiny.
What happened to Cypress afterward?
At closing, Cypress became a wholly owned subsidiary of Infineon. Eligible Cypress shares were converted into the right to receive $23.85 in cash, and Cypress ceased trading as an independent public company. Infineon’s reporting treated April 16, 2020, as the date it began consolidating Cypress.

That change in ownership did not mean Cypress products or business activity simply vanished. Cypress’s technologies and operations became part of Infineon; the company’s independent public identity ended. For anyone following Cypress as an investment, the key distinction is that the shares no longer represented ownership of a separate, publicly traded Cypress company after the merger closed.
Why the acquisition mattered in semiconductors
The deal reflected a broader industry push to combine complementary chip portfolios and gain scale, particularly as vehicles and industrial equipment incorporate more electronics, connectivity and embedded computing. Cypress gave Infineon a wider presence in microcontrollers, memory and connectivity alongside its existing strengths in power and automotive semiconductors.
Infineon said the combined businesses would have pro forma fiscal-2018 revenue of approximately €10 billion and rank eighth among global semiconductor companies on that historical revenue basis. That was the company’s transaction-era ranking, not a current industry ranking.

The companies’ strategic case and synergy estimates described expected benefits; they should not be mistaken for evidence that every expected benefit was realized.
