Why Meta Says Its Instagram and WhatsApp Acquisitions Were Not Monopolistic

Meta won the FTC’s antitrust case in federal district court in late 2025, but the fight is not over: the FTC appealed on January 20, 2026. Meta says it bought promising, relatively small products and improved them; the FTC says the acquisitions helped preserve a monopoly by removing emerging competitors. The dispute now turns on whether the FTC proved its specific market and monopoly-power claims—not simply whether the acquisitions look different in hindsight.

What Meta is defending

The FTC sued Meta under Section 2 of the Sherman Act, alleging a long-running strategy to maintain monopoly power in personal social networking. The agency pointed to Facebook’s purchases of Instagram and WhatsApp, as well as alleged restrictions on software developers’ access to its platform. Meta disputes that account. Its position is that it acquired distinct products, invested in them, and faced competition from a much wider set of services. The claim was not simply that regulators should reconsider two old mergers under today’s standards. The FTC framed the acquisitions as part of a broader course of conduct that allegedly maintained monopoly power. That distinction matters: the agency had to prove unlawful monopolization under its theory, rather than merely show that the transactions might have raised concerns in a merger review. Two acquisitions, two different products

Meta’s defense treats Instagram and WhatsApp as different businesses with different roles in the market. The FTC, by contrast, alleges that both were important emerging threats to Facebook’s position as social networking shifted to mobile devices.

Service Deal announcement and terms Why the deal is disputed
Instagram Facebook announced the agreement on April 9, 2012, for approximately $1 billion in cash and shares, according to the announcement. Meta emphasizes Instagram’s small scale at the time. The FTC argues it was a growing potential rival whose independent development could have constrained Facebook.
WhatsApp Facebook announced the agreement on February 19, 2014: approximately $16 billion in consideration—$4 billion cash and about $12 billion in shares—plus approximately $3 billion in restricted stock units for founders and employees, according to the announcement. Meta describes WhatsApp as a distinct messaging service, not a close substitute for Facebook’s social network. The FTC argues it was a significant emerging mobile threat.

The $16 billion and $3 billion figures for WhatsApp describe different parts of the announced terms; combining them into a single “$19 billion purchase price” obscures that distinction. Facebook said WhatsApp had more than 450 million monthly users when it announced the transaction.

Meta’s case: clearance, investment and competition

Regulators reviewed the deals

Meta says the FTC conducted an in-depth “Second Request” review of Instagram and unanimously cleared the transaction. Meta also says the European Commission reviewed the WhatsApp deal and found no competition risk in any potential market. These are not identical regulatory histories, and prior clearance does not automatically settle a later monopolization claim. Instagram was small, Meta says

Meta says Instagram had about 2% of its current user base, 13 employees, no revenue and little infrastructure when Facebook agreed to buy it. Its argument is that Facebook acquired an undeveloped product and helped it grow, rather than eliminating an established rival. The FTC’s counterpoint is that present-day size is not the only relevant measure: a fast-growing product may be a “nascent” competitive threat before it has a large user base or substantial revenue.

WhatsApp served a different purpose

Meta characterizes WhatsApp as an international messaging product with a paid-subscription model before the acquisition and limited U.S. presence. It says the service complemented Facebook and Messenger, and that Meta made it free, added calling and other features, and expanded security. The FTC’s theory focuses instead on the path WhatsApp might have taken as a mobile competitor, not just how much its service overlapped with Facebook at the time of the deal.

Meta points to product changes and a broad field of rivals

Meta cites Instagram features and improvements including Stories, Reels, direct messaging, live video, shopping and advertising infrastructure. For WhatsApp, it points to free access, voice and video calling, end-to-end encryption, Status and Channels. Those are Meta’s examples of investment and consumer benefit, not proof by themselves that competition was unharmed. The FTC argues that improvements after an acquisition do not erase the loss of an independent competitor if the purchase removed a competitive constraint.

Meta also argues that the FTC defined the market too narrowly. It points to TikTok, YouTube, Snapchat, X and other services as competitors for users and advertisers. But competition for people’s time is not necessarily the same as close substitution for every purpose. A video platform, private messaging service and network for sharing with friends and family may compete in some respects while serving different needs in others. Market definition is a legal and economic question, not a tally of popular apps. Meta set out its arguments in its 2024 summary-judgment filing and 2025 trial statement.

Free to users does not end the analysis

Meta emphasizes that its services charge users no monetary price. That does not, on its own, resolve whether a company has monopoly power or whether users have meaningful alternatives. The competitive questions can also involve attention, service quality, privacy and advertising conditions. The FTC’s case therefore cannot be reduced to a claim that a free service must be competitive—or that a free service is immune from antitrust scrutiny.

Meta says late challenges create uncertainty

Meta argues that reopening deals more than a decade after regulatory review undermines the finality of merger decisions and could deter investment in startups. That is a policy argument, not a rule that cleared acquisitions can never be challenged later. The FTC alleges that these deals formed part of an ongoing monopolization strategy; the court had to assess that claim under antitrust law.

What the FTC alleged—and what remedy it sought

The FTC’s “buy or bury” theory was that Facebook recognized Instagram and WhatsApp as significant or emerging threats, bought them rather than competing with them, and protected its position in personal social networking. The agency also included alleged restrictions on developers’ access to Facebook’s platform in its account of the conduct. Its amended-complaint announcement describes the theory at the FTC’s 2021 release.

The agency sought injunctive and other equitable relief that could include divestiture or reconstruction of Instagram and WhatsApp. Meta’s filing with the Securities and Exchange Commission describes the relief the FTC sought: SEC filing. The requested remedy made the case consequential, but it was not a court order to separate the services.

Why market definition became pivotal

The FTC focused on personal social networking services built around sharing and interaction with friends and family. Meta argued that this left out meaningful alternatives and failed to reflect how people use services such as TikTok, YouTube, Snapchat and X. If more products belong in the relevant market, Meta’s position is that its alleged share and power look different. The FTC’s position is that broad attention competition does not necessarily replace the specific social-networking services at issue.

Question FTC’s framing Meta’s framing
What is the market? Personal social networking centered on friends-and-family sharing. A broader competitive field that includes social, video, messaging and attention services.
What were Instagram and WhatsApp? Important emerging threats that could have developed independently. Distinct or complementary services that Meta improved after acquiring them.
What does the evidence show? The loss of independent competition and a strategy to maintain monopoly power. Investment, product development and competition from many services.

Neither “they compete for attention” nor “they have different features” resolves the market question by itself. The relevant issue is whether users would turn to other services in response to changes in price or non-price terms in the market the law recognizes. With services offered at zero monetary price, quality, privacy, advertising and user behavior can be part of the practical analysis.

What the judge decided—and what remains open

The case went to a six-week bench trial in spring 2025. In late 2025, the U.S. District Court for the District of Columbia ruled for Meta, concluding that the FTC had not carried its burden on the relevant market and Meta’s current monopoly power. The decision did not declare that Meta can never be a monopoly, or that acquisitions of potential competitors are always lawful. It rejected the FTC’s proof under the specific theory and evidence presented. The district court opinion and the Congressional Research Service’s summary explain the ruling.

The FTC filed an appeal on January 20, 2026. Its announcement is available at the FTC’s appeal release, and the agency’s case page lists the matter as pending. The established procedural fact is that an appeal was filed; the materials cited here do not establish a final appellate disposition.

On appeal, the dispute may involve whether the district court used the right market definition and monopoly-power framework, how it evaluated competition from newer or adjacent platforms, and how historical acquisitions can figure in an alleged continuing monopolization strategy. The American Antitrust Institute has criticized the district court’s market-definition and monopoly-power analysis, including its treatment of evidence about app outages and TikTok-related behavior. Why the case matters beyond Meta

  • Merger-review finality: The case tests the tension between reliance on completed regulatory reviews and the government’s ability to challenge alleged monopoly maintenance involving old acquisitions.
  • Nascent competitors: A small company can matter to competition before it resembles an established rival. Courts must weigh that possibility against the risk of treating every successful startup acquisition as unlawful.
  • Digital markets: Services that are free to users still compete through non-price dimensions, while broad competition for attention does not necessarily make every service a close substitute.
  • Remedies: The FTC’s requested divestiture or reconstruction relief illustrates the potential consequences of a successful case; it has not been ordered by the district court.
