Einride is no longer merely planning to go public. The Swedish electric- and autonomous-freight company completed its merger with Legato Merger Corp. III on June 9, 2026. Its American depositary shares began trading on Nasdaq under ENRD on June 10, alongside warrants trading as ENRDW.
The transaction changed materially between its November 2025 announcement and closing: Einride’s announced pre-money valuation fell from approximately $1.8 billion to approximately $1.35 billion, while the financing plan included a $113.3 million private investment in public equity, or PIPE.
What Einride’s SPAC transaction was
Einride became a public company through a SPAC business combination, not a conventional initial public offering. The transaction combined Einride AB with Legato Merger Corp. III, a Cayman Islands blank-check company.

In a traditional IPO, an operating company typically sells newly issued shares through an underwritten offering as it applies to list. In a SPAC transaction, an already listed shell company merges with a private operating company. The result can provide a route to public markets, but the amount of cash ultimately delivered to the operating company depends on factors such as shareholder redemptions, PIPE financing, expenses and transaction terms.
Einride and Legato announced their definitive agreement on November 12, 2025. At that time, the transaction was described as valuing Einride at approximately $1.8 billion on a pre-money basis and was expected to close during the first half of 2026. Early announcement materials also referred to a planned New York Stock Exchange listing, but the completed listing took place on Nasdaq.

The closing and first trading dates are confirmed in the closing Form 8-K.
How the deal terms changed
Valuation fell before closing
The original announcement cited an approximately $1.8 billion pre-money equity valuation. Later transaction materials cited approximately $1.35 billion.
That is a reduction of roughly 25% from the initial announced figure. The two numbers should not be treated as interchangeable: $1.8 billion describes the proposed economics announced in November 2025, while $1.35 billion reflects the later terms disclosed in April 2026.
SPAC terms can be renegotiated or revised before closing. The filings establish that Einride’s stated valuation changed, but they do not establish why it changed. It would therefore be speculative to attribute the reduction to a particular market event, investor reaction or operating result without additional evidence.
Valuation is also different from cash raised. A company can have a stated equity valuation while receiving less cash than headline financing figures suggest after redemptions, transaction expenses and other deductions.

Financing increased in specificity
The initial transaction announcement expected approximately $219 million from Legato’s trust account before redemptions and expenses. It also referred to a possible PIPE of up to $100 million, while noting that definitive PIPE agreements had not yet been executed at that stage.
Later materials described a $113.3 million PIPE, characterized as oversubscribed, and up to approximately $220 million expected from Legato’s trust account before redemptions and expenses. Together, those amounts were presented as approximately $333 million in expected gross proceeds.
That $333 million figure should not be reported as Einride’s final net cash proceeds. The closing filing confirms the $113.3 million PIPE and reports that 16,596,675 Legato shares were redeemed. Redemptions reduce the amount available from the SPAC trust, and final cash proceeds also depend on expenses and other adjustments.
Einride had separately announced approximately $100 million of crossover financing during 2025. That financing should not automatically be added to the SPAC proceeds without reviewing how the instruments and transaction documents interact.

What Einride actually sells
Calling Einride only a “self-driving truck startup” understates the company’s stated business model. Einride combines several parts of freight transportation:
- Electric heavy-duty trucks and related freight operations.
- Autonomous freight technology, including the company’s Einride Driver technology.
- AI-based freight and fleet optimization software.
- Charging infrastructure for electric freight fleets.
- Freight-Capacity-as-a-Service, an operating model intended to provide transportation capacity rather than simply sell equipment.
- Potential licensing of autonomous-driving and fleet-management technology to third-party operators and original-equipment manufacturers.
Einride’s Saga platform is described as fleet-management software, while Einride Driver is the company’s autonomous-driving stack. The company’s investor materials present these products as part of a broader freight-technology and operating platform.
“Autonomous” does not necessarily mean that every vehicle is operating fully driverless on public roads in all conditions. The relevant questions include the route, operating environment, permits, weather, safety procedures and level of human supervision. Company descriptions of autonomous technology should be read in that context.

What commercial traction has Einride disclosed?
In April 2026 transaction materials, Einride reported:

- Approximately $92 million in expected annual recurring revenue from signed customer contracts.
- More than $800 million in potential long-term ARR associated with joint business plans with blue-chip customers.
These figures are not equivalent to recognized revenue. Expected ARR from signed contracts is a forward-looking measure based on contractual relationships; it is not the same as revenue already recorded in financial statements. Potential long-term ARR under joint business plans is even less certain: it should not be treated as contracted revenue, current sales or a guarantee of future results.
The disclosures also do not establish that every customer uses driverless trucks, or that the reported ARR comes specifically from autonomous freight. Einride’s customer relationships may span electric transport, software, charging and other parts of its integrated offering.
What investors received and what now trades
The closing filing reported 140,039,054 Einride ordinary shares immediately after the transaction, including 16,639,056 ordinary shares represented by ADSs. It also reported 10,340,313 Einride warrants outstanding.
Einride’s ADSs trade on Nasdaq under ENRD. Its warrants trade under ENRDW. The PIPE warrant exercise price was reported as $10.90 per ADS, subject to adjustment under the warrant terms.
For U.S. investors, an ADS is a U.S.-traded security representing an underlying foreign-company ordinary share. The filing states that each Einride ADS represents one ordinary share. ENRD is therefore not common stock in a U.S.-incorporated company; Einride remains a Swedish company whose securities trade in the United States.

1. Can signed ARR become recognized revenue?
The $92 million signed-contract ARR figure is an important starting point, but investors need to track revenue recognition, implementation timing, cancellations, customer concentration and the proportion generated by recurring software versus transportation and infrastructure services.

2. How much cash did Einride actually receive?
Expected gross proceeds are not the same as net cash. Redemptions, expenses, working-capital requirements and the final capitalization determine how much funding remains available for operations.
3. How capital-intensive is the operating model?
Electric trucks and charging infrastructure require capital. Fleet ownership or leasing, maintenance, insurance, charging, remote operations and regulatory compliance may create costs that are materially different from those of a software-only company.
4. Where is autonomy commercially validated?
Investors should look for specific information about operating locations, permits, route types, safety drivers or remote supervision, vehicle utilization, weather conditions and customer deployments. Technology demonstrations and controlled-site operations should not automatically be treated as fully driverless public-road freight.
5. Can licensing make the model more asset-light?
Einride has discussed potential licensing of its autonomous-driving stack and Saga software to OEMs and third-party operators. Licensing could reduce the need for Einride to own every vehicle or operate every route, but the materials cited here do not establish the scale or timing of licensing revenue.
6. How much dilution remains?
SPAC investors should examine PIPE shares, warrants, sponsor holdings, earnouts, redemptions and other securities. The post-closing share and warrant counts are more useful than relying on the original announcement alone, but ownership can continue to change as warrants are exercised or additional securities are issued.
7. What risks come with ADSs?
Because Einride is Swedish and its ADSs trade in the United States, investors should review the registration statement and subsequent SEC filings for risks involving foreign-company reporting, currency, governance, shareholder rights and the mechanics of the ADS program.

Investors can review primary documents through:
- SEC EDGAR for the registration statement, Form 8-K and subsequent filings.
- Einride’s investor-relations page for company presentations and filings.
- Nasdaq for exchange-level company and trading information.
Trading availability, brokerage commissions, margin requirements and access to ENRDW can vary by broker and should be checked directly. The transaction facts alone do not establish whether either security is suitable or attractively valued.
Bottom line
Einride’s original plan to go public via a SPAC became reality on June 9, 2026, with Nasdaq trading beginning the following day. But the story changed along the way: the announced pre-money valuation moved from approximately $1.8 billion to $1.35 billion, the financing included a $113.3 million PIPE, and substantial share redemptions affected the transaction’s capitalization.
For investors, the central issue is no longer whether Einride will list. It is whether the company can convert signed customer contracts into revenue, scale autonomous and electric freight economically, manage capital requirements and create value without excessive dilution.
